IMPORTANT READ CAREFULLY: This End-User License Agreement (“EULA”) is a legal agreement between you (either an individual or a single entity) and the California Chamber of Commerce (“CalChamber”) for the software and its content that accompanies this EULA. YOU AGREE TO BE BOUND BY THE TERMS OF THIS EULA BY INSTALLING, COPYING, OR USING THE SOFTWARE. IF YOU DO NOT AGREE, DO NOT INSTALL, COPY OR USE THE SOFTWARE; YOU MAY CONTACT CALCHAMBER’S CUSTOMER SERVICE AT 1-800-331-8877 WITHIN 30 CALENDAR DAYS OF THE DATE YOU RECEIVED THE DOWNLOAD FOR A FULL REFUND. 1. GRANT OF LICENSE. CalChamber grants you the following rights provided that you comply with all the terms and conditions of this EULA: you may install and use this software on (i) any number of single computers at one location of your company or (ii) a single network server at one location of your company. You may make one archival copy of this software for the sole purpose of protecting your investment from loss. 2. LIMITATIONS ON USE. You may not transfer this software or its content (collectively “the LLD Product”), in any form, to another entity or to any other company location. 3. RESERVATION OF RIGHTS AND OWNERSHIP. CalChamber reserves all rights not expressly granted to you in this EULA. The LLD Product is protected by copyright and other intellectual property laws and treaties. CalChamber owns the title, copyright, and other intellectual property rights in the LLD Product. The LLD Product is licensed, not sold. This EULA does not grant you any rights to any trademarks or service marks of CalChamber. 4. LIMITATIONS ON REVERSE ENGINEERING, DECOMPILATION, AND DISASSEMBLY. You may not reverse engineer, decompile or disassemble the software, except and only to the extent that such activity is expressly permitted by applicable law. 5. PROPRIETARY AND TRADE SECRET INFORMATION. This software contains proprietary and trade secret information. The contents may not be disclosed to third parties without the prior written consent of CalChamber. 6. DISCLAIMERS. 6.1. The information compiled in this software is being provided by CalChamber as a service to the business community. Although every effort has been made to ensure the accuracy and completeness of this information, CalChamber and the contributors to this software cannot be responsible for any error or omission, nor any court/agency's interpretation, application or change. The information compiled in this software has been updated through December 31, 2021. This information will not be updated during the year. 6.2. The information in this software should not be construed as legal advice or legal opinion on specific facts. This software is designed to provide authoritative information in a highly summarized manner in regard to the subject matter covered. EXCEPT FOR THE EXPRESS WARRANTIES PROVIDED HEREIN, TO THE MAXIMUM EXTENT PERMITTED BY LAW, CALCHAMBER MAKES NO WARRANTIES, EXPRESS OR IMPLIED, WITH RESPECT TO THE LLD PRODUCT OR TO THE LLD PRODUCT’S QUALITY, PERFORMANCE, MERCHANTABILITY, OR FITNESS FOR A PARTICULAR PURPOSE. THE LLD PRODUCT IS PROVIDED “AS IS.” 6.4. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CALCHAMBER BE LIABLE FOR ANY DAMAGES INCLUDING SPECIAL, INCIDENTAL, PUNITIVE, INDIRECT OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS OR CONFIDENTIAL OR OTHER INFORMATION, FOR BUSINESS INTERRUPTION, FOR PERSONAL INJURY, FOR LOSS OF PRIVACY, FOR FAILURE TO MEET ANY DUTY INCLUDING OF GOOD FAITH OR OF REASONABLE CARE, FOR NEGLIGENCE, AND FOR ANY OTHER PECUNIARY OR OTHER LOSS WHATSOEVER) ARISING OUT OF OR IN ANY WAY RELATED TO THE USE OR INABILITY TO USE THE LLD PRODUCT OR OTHERWISE UNDER OR IN CONNECTION WITH ANY PROVISION OF THIS EULA, EVEN IN THE EVENT OF FAULT, TORT (INCLUDING NEGLIGENCE), MISREPRESENTATION, STRICT LIABILITY, BREACH OF CONTRACT OR BREACH OF WARRANTY EVEN IF CALCHAMBER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. 7. LIMITED WARRANTY. CalChamber warrants that the download in which the software is distributed is free from defects in workmanship. CalChamber will correct substantial program errors at no charge, provided you notify CalChamber about the error within 30 calendar days of the date you received the download from CalChamber. If CalChamber is unable to correct the error, CalChamber will refund the license price. These are your sole remedies for any breach of warranty. Under no circumstance will CalChamber's total liability exceed the amount paid by you to license the LLD Product. 8. TERMINATION. Without prejudice to any other rights, CalChamber may terminate this EULA if you fail to comply with its terms and conditions. In such event, you must confidentially destroy all copies of the LLD Product. 9. GOVERNING LAW. This EULA shall be governed by and construed in accordance with the laws of the State of California, without regard to California’s conflict of laws rules, except with respect to issues governed by the copyright laws of the United States. 10. ENTIRE AGREEMENT AND SEVERABILITY. This EULA is the entire agreement between you and CalChamber relating to the LLD Product and supersedes all previous agreements, negotiations or communications between you and CalChamber. If any provision is held to be void, invalid, or unlawful, the remainder of this EULA shall continue to be enforceable.
